This Terms and Conditions Agreement ("Agreement") is entered into by and between you ("Client", "you" or "your") and Synx Automation Private Limited ("SynxZap", "Synx", "we", "our", or "us"), a company incorporated in India with registered offices and branches in the United Kingdom, Netherlands, United Arab Emirates, and Australia.
SynxZap is a platform that enables businesses to integrate and use WhatsApp Business APIs and related automation tools through various methods of onboarding and communication.
By accessing and using the SynxZap platform and services, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to all of the terms of this Agreement, you may not access or use the SynxZap platform or services.
1. Definitions
- "SynxZap Platform": Refers to the platform, web applications, APIs, documentation, dashboards, and other associated tools made available by Synx.
- "Services": Refers to all features, functionalities, and support provided by SynxZap.
- "WABA": WhatsApp Business Account.
- "Meta": Refers to Meta Platforms Inc., formerly known as Facebook, which provides the WhatsApp Business API and other integrated tools.
- "Client Data": All data provided or generated by the Client through their use of the Services, including customer data, message content, and usage metrics.
2. Eligibility and Registration
To use SynxZap:
- You must be at least 18 years of age.
- You must register an account with accurate business and contact information.
- You must have a valid Facebook Business Manager account if using WhatsApp Business Cloud API.
You agree to keep your account credentials secure and not to share access with unauthorized parties.
3. Services Provided
SynxZap provides the following services, subject to your plan and use case:
- WhatsApp Business API onboarding (via Embedded Signup, BSP, or manual integration)
- Campaign Management and Messaging
- Contact Management and CRM integrations
- Marketing automation, chat flows, and triggers
- Reporting and Analytics dashboards
- Customer engagement tools (e.g. birthday reminders, segmentation)
- Future features (e.g. AI chat, CRM desk integration, shared inbox) subject to roadmap releases
You understand that these services may involve third-party platforms and regulatory requirements.
4. WhatsApp Business Compliance
To use WhatsApp through SynxZap, you must:
- Maintain a verified business presence via Facebook Business Manager.
- Abide by Meta's Commerce and Messaging Policies: https://www.whatsapp.com/legal/business-policy
- Use WhatsApp for business communications only. Personal or unsolicited messaging is strictly prohibited.
- Ensure that all message templates comply with WhatsApp's standards and approval processes.
SynxZap cannot be held liable for actions taken by Meta, including but not limited to: message rejections, rate limits, WABA suspensions, or account removals.
5. Client Responsibilities
You agree to:
- Provide truthful, accurate, and complete information when registering for the platform.
- Use the SynxZap platform in compliance with all applicable laws and regulations (including GDPR, CCPA, DPDP).
- Obtain all necessary consents from your customers before initiating any communication.
- Refrain from sending spam or unauthorized marketing messages.
- Ensure that your systems and usage do not violate WhatsApp's API rate limits or fair use guidelines.
You are responsible for all actions taken using your credentials and your WABA.
6. Data Privacy and Protection
We value your privacy. All personal data shared with SynxZap is handled in accordance with our Privacy Policy.
- Your customer data remains your property.
- We only process your data for the purpose of delivering the agreed Services.
- We do not sell or share your data with third parties, except when required for service delivery or legal compliance.
- SynxZap takes appropriate technical and organizational measures to ensure data security.
Clients are responsible for ensuring their own data collection and usage practices comply with applicable laws.
7. Fees and Payments
- Subscription fees are billed monthly or annually, depending on your selected plan.
- Additional fees may apply for:
- WhatsApp conversation charges (as per Meta's pricing)
- Add-ons, premium support, or custom integrations
- All payments are to be made in INR or USD as per your region, exclusive of GST/VAT or applicable local taxes.
- Non-payment may result in suspension or termination of your services.
SynxZap reserves the right to modify pricing with 30 days' notice via email or platform notification.
8. Intellectual Property
- All intellectual property related to SynxZap, including its software, code, user interface, documentation, and branding, is the sole property of Synx Automation Private Limited.
- Clients are granted a non-exclusive, non-transferable, revocable license to use the platform during their subscription period.
- You may not copy, modify, reverse engineer, or distribute any part of the platform without prior written permission.
9. Termination
This Agreement remains in effect until terminated by either party.
- You may terminate at any time by written notice and ceasing all use of the platform.
- SynxZap may suspend or terminate access if:
- You violate these Terms
- Payment is overdue
- Your WABA is flagged or blocked by Meta
- We are required to do so by law or regulatory authority
Upon termination, your access to the platform will be disabled, and your data will be deleted in accordance with our data retention policy.
10. Limitation of Liability
To the maximum extent permitted by law:
- SynxZap shall not be liable for indirect, incidental, special, or consequential damages.
- Our total liability under this Agreement shall not exceed the amount you paid in the preceding 3 months.
- We are not responsible for:
- Meta's approval or rejection of message templates
- Delivery failures caused by external APIs
- Unauthorized access resulting from your failure to safeguard credentials
11. Third-Party Integrations
The SynxZap platform may integrate with third-party services (e.g. WhatsApp by Meta, Twilio, SendGrid, etc.). You understand that:
- These services have their own terms and privacy policies.
- SynxZap is not responsible for outages, data loss, or actions taken by those third parties.
- You may be required to maintain valid accounts and credentials for those services.
12. Confidentiality
Each party agrees to maintain the confidentiality of all non-public, proprietary, or confidential information disclosed during the course of using the service.
This obligation survives termination of this Agreement.
13. Modifications to the Agreement
SynxZap reserves the right to update or modify this Agreement at any time.
- We will notify you via email or platform alerts if material changes occur.
- Continued use of the Service after the effective date constitutes acceptance of the updated terms.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India.
- Any disputes shall be subject to the exclusive jurisdiction of the courts in Thiruvananthapuram, Kerala, India.
- Clients operating in the UK, Netherlands, UAE, and Australia acknowledge and agree to these jurisdictional terms.
