Terms and Conditions

This Terms and Conditions Agreement is entered into by and between you and Synx Automation Private Limited. By accessing and using the SynxZap platform, you agree to be bound by these terms.

Introduction

This Terms and Conditions Agreement ("Agreement") is entered into by and between you ("Client", "you" or "your") and Synx Automation Private Limited ("SynxZap", "Synx", "we", "our", or "us"), a company incorporated in India with registered offices and branches in the United Kingdom, Netherlands, United Arab Emirates, and Australia.

SynxZap is a platform that enables businesses to integrate and use WhatsApp Business APIs and related automation tools through various methods of onboarding and communication.

By accessing and using the SynxZap platform and services, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to all of the terms of this Agreement, you may not access or use the SynxZap platform or services.

Definitions

"SynxZap Platform":Refers to the platform, web applications, APIs, documentation, dashboards, and other associated tools made available by Synx.
"Services":Refers to all features, functionalities, and support provided by SynxZap.
"WABA":WhatsApp Business Account.
"Meta":Refers to Meta Platforms Inc., formerly known as Facebook, which provides the WhatsApp Business API and other integrated tools.
"Client Data":All data provided or generated by the Client through their use of the Services, including customer data, message content, and usage metrics.

Eligibility and Registration

To use SynxZap:

  • You must be at least 18 years of age.
  • You must register an account with accurate business and contact information.
  • You must have a valid Facebook Business Manager account if using WhatsApp Business Cloud API.
Important: You agree to keep your account credentials secure and not to share access with unauthorized parties.

Services Provided

SynxZap provides the following services, subject to your plan and use case:

  • WhatsApp Business API onboarding
  • Campaign Management and Messaging
  • Contact Management and CRM integrations
  • Marketing automation, chat flows, and triggers
  • Reporting and Analytics dashboards
  • Customer engagement tools
  • Future features (AI chat, CRM desk)

Note: You understand that these services may involve third-party platforms and regulatory requirements.

WhatsApp Business Compliance

  • Maintain a verified business presence via Facebook Business Manager.
  • Abide by Meta's Commerce and Messaging Policies: Read Policy
  • Use WhatsApp for business communications only. No spam.
Important: SynxZap cannot be held liable for actions taken by Meta, including but not limited to: message rejections, rate limits, WABA suspensions, or account removals.

Client Responsibilities

You agree to:

  • Provide truthful, accurate, and complete information.
  • Use the platform in compliance with all applicable laws (GDPR, CCPA, DPDP).
  • Obtain all necessary consents from customers.
  • Refrain from sending spam.
  • Ensure usage does not violate WhatsApp's API rate limits.

Data Privacy and Protection

We value your privacy. All personal data shared with SynxZap is handled in accordance with our Privacy Policy.

  • Your customer data remains your property.
  • We only process your data for the purpose of delivering the agreed Services.
  • We do not sell or share your data with third parties (except for service delivery/legal compliance).
  • SynxZap takes appropriate technical and organizational measures to ensure data security.

Fees and Payments

Subscription fees are billed monthly or annually. Additional fees may apply for WhatsApp conversations (Meta pricing), add-ons, or premium support.

All payments are exclusive of GST/VAT. Non-payment may result in suspension.

Intellectual Property

All IP related to SynxZap (code, UI, branding) belongs to Synx Automation Pvt Ltd. You get a revocable license to use it during subscription.

Termination

You may terminate anytime. We may terminate for violations or non-payment. Upon termination, access is disabled and data deleted per policy.

Limitation of Liability

SynxZap is not liable for indirect damages. Total liability is capped at the amount paid in the preceding 3 months.

Third-Party Integrations

Integrations (Meta, Twilio, etc.) have their own terms. We are not responsible for their outages or actions.

Confidentiality

Each party agrees to maintain the confidentiality of all non-public information. This obligation survives termination.

Modifications

We may update this Agreement. Material changes will be notified via email/platform. Continued use implies acceptance.

Governing Law

Governed by laws of India. Disputes subject to exclusive jurisdiction of courts in Thiruvananthapuram, Kerala.
